Terms & Conditions

Welcome to Prolevel Digital.

These Terms & Conditions govern your use of the Prolevel Digital website and any services you purchase or receive from us.

By accessing this website, submitting an inquiry, booking a consultation, purchasing a service, or otherwise engaging with Prolevel Digital, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.

If you do not agree with these terms, please do not use the website or purchase our services.

Marketing Automation

Lead nurture, email and SMS workflows, appointment reminders, follow-up sequences, re-engagement campaigns, notifications, and related automation.

Additional services may include:

• Monthly system optimization and support

• Email and SMS campaign management

• Reporting dashboards

• SOP documentation

• Client training

• Conversion optimization

The exact services, deliverables, timeline, responsibilities, and fees will depend on the service or package purchased and may be defined in a proposal, statement of work, invoice, agreement, or written communication.

We may decline or discontinue a project where the requested work is outside our capabilities, violates applicable law, creates unreasonable risk, or is otherwise not an appropriate fit.

3. Project Scope and Client Responsibilities

Successful implementation requires cooperation from both sides.

Depending on the project, you may be responsible for providing:

• Accurate business information

• Brand assets and content

• Account access and permissions

• Required software subscriptions

• Offer, pricing, and sales-process information

• Approval or feedback within agreed timeframes

• Access to third-party platforms necessary for the project

You are responsible for ensuring that the information, content, marketing claims, contact lists, and materials you provide to Prolevel Digital are accurate and that you have the appropriate rights to use them.

Delays caused by missing information, inaccessible accounts, delayed approvals, or other client-side issues may affect project timelines.

4. Deliverables and Revisions

Deliverables will be based on the agreed project scope.

Where revisions are included, they will be limited to the number and type of revisions stated in the applicable proposal, package, or agreement.

Requests that materially change the original scope may be treated as additional work and may require additional fees.

We aim to communicate scope changes clearly before performing substantial additional work.

5. Intellectual Property

Unless otherwise agreed in writing, Prolevel Digital retains ownership of its original:

• Templates

• Frameworks

• Processes

• Internal systems

• Automation methodologies

• Reusable assets

• Code or technical components created for general use

• Proprietary documentation and know-how

Upon full payment, the client receives the rights necessary to use the specific final deliverables created for their business, subject to any third-party licenses or restrictions.

Client-owned materials remain the property of the client.

Third-party software, platforms, fonts, images, plugins, templates, integrations, and other licensed materials remain subject to their respective owners' terms and licenses.

6. Payments

Project fees, deposits, recurring fees, payment schedules, and applicable expenses will be communicated before work begins.

Unless otherwise agreed:

• Required deposits or initial payments must be received before project work begins

• Recurring services are billed according to the agreed billing schedule

• Additional work outside the agreed scope may be billed separately

• Third-party software or subscription costs are generally paid by the client unless otherwise agreed

• Late or failed payments may result in paused services, delayed delivery, or suspension of access to applicable services

You are responsible for maintaining any third-party subscriptions required for your system to continue operating.

7. Refund & Cancellation Policy

Because many Prolevel Digital services involve customized setup, configuration, strategy, automation, and implementation work, refund eligibility depends on the nature and stage of the service.

Project Services

Once work has begun, payments for completed work, delivered milestones, approved deliverables, or non-recoverable third-party expenses may not be refundable, subject to applicable law and the terms of the individual agreement.

Deposits

Project deposits may be used to reserve project capacity and begin planning or implementation.

Where a deposit is stated as non-refundable in the applicable agreement, that term will apply to the extent permitted by law.

Client Cancellation

A client may request cancellation by contacting Prolevel Digital in writing.

For ongoing or recurring services, cancellation should be requested before the next billing period where applicable.

Cancellation does not automatically cancel outstanding payment obligations for work already completed, approved, or committed before the cancellation date.

ProLevel Digital Cancellation

We reserve the right to pause or terminate services where there is:

• Non-payment

• Repeated failure to provide required information or access

• Abusive or inappropriate conduct

• Misuse of the systems or services

• A legal, ethical, or operational reason requiring termination

Where appropriate, we will communicate the reason for termination and any applicable next steps.

Third-Party Purchases

Payments made directly to third-party platforms, software providers, hosting companies, or other vendors are governed by the respective provider's refund and cancellation policies.

Nothing in this section is intended to limit rights or remedies that cannot legally be waived.

8. Third-Party Services

Prolevel Digital may use or recommend third-party platforms such as CRM systems, automation platforms, email and SMS providers, scheduling tools, hosting providers, analytics services, payment processors, and other software.

These services are controlled by their respective providers.

Prolevel Digital is not responsible for:

• Third-party outages

• Service interruptions

• Pricing changes

• Account suspensions

• Policy changes

• Feature removals

• Security incidents occurring within a third-party service

• Data loss caused by a third-party provider

• Changes made by the third-party provider that affect functionality

You may be required to maintain active subscriptions or accounts with third-party providers for certain systems to continue operating.

9. Results and Performance

Prolevel Digital provides systems, implementation, strategy, and automation services.

We do not guarantee a specific number of:

• Leads

• Sales

• Appointments

• Clients

• Revenue

• Conversion rates

• Return on investment

Business results depend on many factors outside our control, including the offer, market, pricing, traffic, sales process, audience, client execution, and external platform performance.

Our goal is to build a reliable system that supports your business—not guarantee a particular commercial result.

10. Limitation of Liability

To the extent permitted by applicable law, Prolevel Digital will not be responsible for indirect, incidental, consequential, special, or business losses arising from the use of our website, services, automation systems, or third-party platforms.

This may include losses related to:

• Lost revenue

• Lost opportunities

• Business interruption

• Data loss

• Platform downtime

• Third-party service failures

• Missed communications

• Marketing performance

• Changes to external platforms

Where permitted by law, Prolevel Digital's total liability relating to a service will be limited to the amount actually paid by the client for the specific service giving rise to the claim.

Nothing in these Terms is intended to exclude liability that cannot legally be excluded or limited.

11. Website Information and Educational Content

Information published on this website is provided for general educational and informational purposes.

While we aim to keep information accurate and useful, we do not guarantee that all website content will always be complete, current, or applicable to your specific situation.

You are responsible for evaluating whether a particular strategy, tool, automation, or implementation is appropriate for your business.

12. Changes to These Terms

We may update these Terms & Conditions from time to time to reflect changes in our services, business practices, technology, or legal requirements.

When changes are made, the updated version will be posted on this page and the Last Updated date will be revised.

Your continued use of the website or services after an updated version becomes effective may constitute acceptance of the revised terms, to the extent permitted by applicable law.

13. Governing Law

These Terms & Conditions will be interpreted in accordance with the applicable laws of the Republic of the Philippines, unless another governing law is required or agreed upon in a written service agreement.

Any dispute will first be addressed in good faith through direct communication between the parties before pursuing other available remedies.
